Lumson: Two New Acquisitions

Lumson S.p.A. announces that, through its U.S. subsidiary Lumson USA, it has finalized the acquisition of Lombardi Design and Manufacturing, a U.S. company specializing in primary packaging for cosmetics, and has also acquired 100% of the equity in Lombardi Design & MFG Limited in Asia.

According to Lumson executives, “These two transactions represent an important strategic milestone in the group’s international growth strategy and significantly strengthen its presence in the world’s major cosmetic packaging markets. ” Thanks to the acquisition of the U.S. company and the investment in its Asian operations, Lumson now has a direct presence on three continents—Europe, North America, and Asia—further strengthening its ability to serve its international customers, develop industrial and commercial relationships on a global scale, and seize new opportunities in high-growth markets.

This combination of its European and North American operations, coupled with its strategic presence in Asia, further expands Lumson’s international platform and strengthens its position as a global partner to the beauty and personal care industry.

Lombardi Design and Manufacturing will continue to operate under its current name and brand, ensuring continuity in management and operations. Carl Lombardi will also continue to lead the company as CEO, supporting future growth and the strategic integration of the business within the group.

The transaction was managed internally at Lumson by the Mergers and Acquisitions team led by Vice President Francesco dell’Elmo, who also oversaw debt advisory activities with the support of Paolo Mancini, a member of the board of directors. KPMG S.p.A. conducted the financial and tax due diligence. Chiomenti and Skadden, Arps, Slate, Meagher & Flom LLP acted as legal advisors to Lumson. Aramar Capital Group, LLC acted as financial advisor to Lombardi Design and Manufacturing, while Nixon Peabody LLP and Bonelli Erede acted as legal advisors.

The acquisition was supported by a consortium of financial institutions including Intesa Sanpaolo, BNL BNP Paribas, Crédit Agricole Italia, and Banco BPM. The transaction also received support from SIMEST, part of the Cassa Depositi e Prestiti group, which helped support Lumson’s international growth strategy.
